1.1 LexCap.io is a legal and compliance technology platform operated by LexCap.io ("LexCap", "we", "us", "our").
1.2 The platform provides AI-assisted legal drafting, document review, compliance tools, market insights, and access to professional legal consultants on a credit-based basis ("Platform"). LexCap operates globally, serving clients internationally across multiple jurisdictions.
2.1 LexCap is not a law firm. We do not provide legal advice and nothing on the Platform — including documents generated by Layla.ai, Playbook positions, market insights, consultant reviews, or any other content — constitutes legal advice or creates a solicitor-client, attorney-client, or any other professional relationship.
2.2 Consultant services provided through the Platform are professional consulting opinions. Consultants are not acting as your admitted legal counsel and their services do not carry the duties, obligations, or protections associated with a regulated legal practice.
2.3 Where your matter requires advice from admitted legal counsel, a licensed compliance officer, or any other regulated professional in your specific jurisdiction, it is your sole responsibility to obtain such advice.
2.4 All AI-generated documents, templates, and Playbook positions are starting points intended as drafting aids only. They may contain errors, omissions, or positions inappropriate for your specific circumstances. LexCap strongly recommends having significant documents reviewed by qualified admitted counsel before execution.
3.1 To use the Platform you must be at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction.
3.2 If registering on behalf of a legal entity, you represent that you have authority to bind that entity.
3.3 You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
3.4 Notify us immediately at legal@lexcap.io of any unauthorised use of your account.
You must not use the Platform to:
5.1 The Platform operates on a credit-based system. Credits are consumed when you use AI features, consultant sessions, and signing envelopes.
5.2 Subscriptions are billed monthly in advance. Unused credits may roll over per your plan terms.
5.3 Free trials are available for 14 days from registration. We will not charge you without your explicit consent.
5.4 All payments are processed by Stripe.
5.5 All fees are exclusive of applicable taxes.
5.6 Subscriptions may be cancelled at any time from Settings. No refunds for partial periods.
5.7 We may change pricing with 30 days' notice.
5.8 Credit packs and transaction bundles are non-refundable once consumed or activated.
6.1 Signing services are provided through integrated third-party providers. By using signing features you acknowledge that:
7.1 The Platform and all related IP is owned by or licensed to LexCap.
7.2 You retain ownership of content you upload. You grant LexCap a limited licence to process and store it solely to provide the Platform.
7.3 Documents generated by Layla.ai based on your inputs are intended to be owned by you. Template structures remain LexCap IP.
7.4 LexCap does not use your documents, Playbook, or conversations to train AI models.
8.1 LexCap treats your documents, Playbook, and conversations as confidential and processes them only to provide the Platform.
8.2 Documents are processed by Anthropic's Claude API under a DPA. Anthropic does not use API inputs to train its models.
TO THE FULLEST EXTENT PERMITTED BY LAW, LEXCAP SHALL NOT BE LIABLE FOR: (A) LOSS OR DAMAGE FROM RELIANCE ON AI-GENERATED DOCUMENTS, PLAYBOOK POSITIONS, MARKET INSIGHTS, OR CONSULTANT REVIEWS; (B) INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES; (C) LOSS OF PROFITS, REVENUE, CONTRACTS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
9.2 LexCap's aggregate liability shall not exceed total fees paid by you in the three months preceding the claim.
9.3 Nothing herein limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
9.4 The Platform is provided "as is" without warranty of any kind.
You agree to indemnify LexCap against claims arising from: your violation of these Terms; reliance on AI-generated content without appropriate review; disputed signed documents; or infringement of third-party rights by content you upload.
The Platform integrates with Anthropic, Stripe, Resend, and other third-party providers. LexCap is not responsible for third-party service availability, accuracy, or content.
12.1 You may terminate your account at any time from Settings.
12.2 LexCap may suspend or terminate accounts for material breach, as required by law, or for suspected fraudulent activity.
12.3 Data is retained for 90 days post-termination for export, then permanently deleted.
13.1 These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).
13.2 Disputes shall be resolved by arbitration under the DIFC-LCIA Arbitration Centre Rules. Seat: DIFC. Language: English.
13.3 Nothing prevents either party from seeking interim relief from any court of competent jurisdiction.
We will notify you of material changes by email at least 14 days before they take effect. Continued use constitutes acceptance.
If any provision is unenforceable, the remainder continues in effect. These Terms together with the Privacy Policy constitute the entire agreement between you and LexCap.
